Terms and Conditions of Use Effective as of 8th March 2022. 

Introduction.

Welcome to Connect Earth, a web platform(the “Platform”), hosting a sustainability data portal and related products, including APIs, created by and for the people, businesses, and organisations who are conscious about their corporate and personal sustainability choices and passionate about decarbonisation and reducing the harmful anthropogenic impact upon our planet.

Access to the Platform is conditional upon accepting the Terms and Conditions of Use (the “Terms”), which, upon accepting, will constitute a binding contract between You (a private user or legal entity You represent) (“You”) and Connect Earth LTD, (“ConnectEarth” or “us”). By accepting these Terms, you agree to be bound by them regardless of whether you plan to use the Platform or the Services.

This Platform continues to grow and evolve, as well as the regulations, policies and standards surrounding knowledge, data, environment, and security, which means that these Terms are likely to be modified, amended, or restated to reflect any such development that might affect You, Connect Earth, or the Platform. We may also introduce or incorporate any additional policies and/or product-specific terms and conditions. You will be asked to review and accept the updated or new Terms and policies, as access to the Platform will remain conditional upon your continuous compliance with the most recent Terms. “Effective as of” date above indicates the last date when these Terms were updated. We sincerely believe that these Terms are fair, proportionate, and necessary for the Platform to function. If you disagree or have any other concerns regarding these Terms, please get in touch using our contact details below. If You choose not to accept the Terms, your sole recourse will be not to use or stop using thePlatform and the Services.  

The Platform and the Services.

The Platform. The Platform is a generic name for a suite of connect.earth web resources, which host a community of environmentally conscious corporate and individual users who contribute data on greenhouses gases (GHG) emissions. The Platform provides customers with access to aggregate data on GHG emissions as well as solutions, such as APIs and our benchmarking software, designed to assess and compare GHG emissions of a business or a product against other businesses and products (the “Services”).As the Platform evolves, we will be offering additional products and services
to our customers.  Carbon Portal. The Carbon Portal offers access to a versatile database of verifiable estimates of carbon emissions associated with corporate commercial activity, merchandise, goods, products,
and services that are published in open sources or submitted by the Platform
users.  

Benchmarking Software.

‍ Our benchmarking solutions allows You to compare your own, your partners, counterparties, and suppliers GHG emissions status and/or track progress against the emissions data accumulated in the Carbon Portal databases.  

APIs.

Our APIs enrich transaction and behaviour data with actionable sustainable insights. For example, our transaction API allows you to estimate the GHG emissions of certain purchases given transaction data. We also have other related APIs that provide access to different use cases and types of sustainability data. Whilst general access to the Platform and some Services is currently free for registered users, some Services are (or will be, in the case of future Services) provided on a paid for basis (the “Paid Service/s”). Access to the Paid Services can be purchased online by following a standard purchase procedure. The purchase and use of the Paid Services will be conditional upon acceptance of product specific terms, regulating the use of a particular Paid Service. In the event of a conflict between product specific terms and these Terms, the former will prevail, however the rest of these Terms will continue to apply to You.  

Setting up a User Account and Account Security.

The Platform and theServices are password protected and can be accessed through Your user account.  

To register a user account, You will be required to submit a registration form, choose a unique user name and password(the “Credentials”), fill out a user profile and undergo a verification procedure performed by our team.  The information submitted in the registration form and user profile (names, titles, personal and corporate registration details) must be relevant, current, accurate and verifiable. What kind of personal information we collect, how we store, process and keep it safe is described in detail in our Privacy Policy, which constitute an integral part of these Terms.

By (1) accepting these Terms and by (2)setting up a user account You represent that You are at least 18 years old and have unrestricted legal capacity to understand the implications of and to enter into commercial agreements. If You are acting on behalf of a legal entity, You’re present that You possess all the requisite authority to (1) enter into an agreement, (2) register a user account, (3) share, contribute, and publish information and data on behalf of such legal entity, and/or (4) authorise ConnectEarth to scrape and analyse data from web pages associated with the legal entity You represent, in order we can verify, corroborate and augment your DataSubmissions. Only You or the legal entity that You represent may access and make use of Your user account, the Platform, and theServices. You or the entity You represent shall remain fully and entirely responsible for all the activities performed through the corresponding user account. Any use of the Platform and the Services that is unlawful or not permitted under these Terms, including gaining, or permitting an unauthorised access to the user account may give rise to financial and other claims for which You orthe entity You represent might be held liable financially and otherwise. You must inform Connect Earth immediately if You (1) suspect that any user account, including Yours was hacked, duplicated, blocked or accessed unlawfully, (2)believe that a third party manually or by means of a code or software may have accessed Your Credentials; (3) have any knowledge of any breach of security or attempts to hack or mine any element of the Platform or the Services, including personal or corporate data.   You user account can be closed or suspended either (1) at Your request, which can be submitted using our contact information below or (2) by Connect Earth, if you breach these Terms, the applicable law and/or for other compelling reasons.

Data Submissions.

Connect Earth is an open to publicPlatform and its core, among other sources, is built on estimates and data, acquired through third party sources, as well as contributed to by the users (“DataSubmission”). All Data Submissions are welcome and appreciated as long as they comply with the following rules:
i.        Your Data Submission must be legally obtained and contain only current; accurate, verifiable and corroborated information, supplied with a source attribution and, where necessary, the conditions of use;     
ii.        Your Data Submission must be compliant with the Governing Law, the laws of the place of Your residence or registration and other applicable laws and policies;   
iii.        Where Data Submission is made with respect to or on behalf of a legal entity, You authorise Connect Earth to scrape and analyse data from web resources owned by and associated with such a legal entity in order that we can verify, corroborate and augment your Data Submissions; in each such case you represent that you have the authority to grant the necessary authorisations;   
iv.        You acknowledge that by uploading GHG emissions data and other related information You are releasing such data into the public domain and stripping such data of any privilege status it might have, and for that reason You must make sure that such release will not infringe upon any IP rights of third parties and is in line with all applicable privacy, data sharing, confidentiality rules, laws, policies and regulations;      
v.        Any Data Submission must not contain confidential or protected information; in the event it does You represent that (1) You are aware that any confidentiality or protected status of any element of the Data Submission will be lost as soon as the data gets uploaded or submitted to Connect Earth; (2)You have the necessary authority to take the decision for making information available to the public and/or stripping it of protected status, and (3) you take sole responsibility for such decisions and will indemnify Connect Earth against any claims that may arise out of the submission, use and/or publishingYour Data Submission in part or in full.   
vi.        In order to validate your Data Submission, we may process, corroborate and carry-out a review of any element of it before making it accessible through the Platform by conducting extra research, examination and verification.Depending on the results of such process your Data Submission may be published in the original, modified or processed from, partially or in full. Based on our decision, we may decide against using your Data Submission. It will be our sole discretion and, unless we chose to, we will not have to explain or justify such decisions. In such cases Connect Earth retains the right to use any part of anyData Submission for future publications, its own research, software development, or in a database, as well as in any other way Connect Earth may deem necessary. 
vii.        Data Submissions once made cannot be modified by users. Any mistakes, errors, omissions, or inaccuracy must be promptly communicated to Connect Earth so we can take appropriate action.  

License

With respect to each and any DataSubmission and/or its part or element, You grant Connect Earth a non-exclusive, perpetual, royalty-free, transferable, sublicensable, irrevocable, worldwide license to use, publish, modify, reproduce, summarise, modify, analyse, process and build upon any part or element of the Data Submission for any commercial and non-commercial purposes, including operating the Platform, providing theServices, updating current and creating and developing new software, artificial intelligence programs, or other tools associated with machine learning and predictive analytics as well as for promotional and other purposes, both on-and off-line. You also grant us the right to sub-license any rights licensed toConnect Earth above and waive all moral rights that might accrue with respect to any Data Submission.  With respect to any product or work created by Connect Earth based on or containing any copyrighted element of theData Submission (the “Derivative works”) You acknowledge and consent that Connect Earth will be the sole owner of any IP rights in such Derivative works and any proprietary rights originally owned by You or third parties inDerivative works will be considered fully assigned and transferred to ConnectEarth upon sending or uploading the Data Submission.  For any product or work that may fall under the definition of a “collective work” under the Copyright, Design and PatentsAct 1988, You expressly waive your right to control future exploitation in such product or work.

Copyright Notice.

All imaging, data and software utilised and/or made available via the Platform or through the Services (including any published and unpublished data, elements of design, graphics, software, tools, codes and APIs) are owned or licensed to Connect Earth and protected by trademarks, database rights and other intellectual property rights laws. With respect to any data, software or elements of the Platform and or the Services contributed or made available after You have accepted these Terms, You must assume the same existing proprietary rights and the same level of the protection as described above.  You are permitted to view, reproduce, download and print data available on the Carbon Portal for non-commercial use only and Connect Earth hereby grant You a limited, non-transferable, revocable license (or sublicense, where appropriate) to do so as long as You maintain your User profile and comply with these Terms. It is explicitly prohibited to monetize all or any portions of data from the Carbon Portal including by means of reselling or transferring such data in any form or by allowing unauthorised access.  With respect to any other materials available on the Platform or accessed through the use of the Services, including any software, codes, APIs or any element or part of those, generally, whilst such materials can be used for non-commercial purposes, You may not copy, distribute, transmit, display, perform, reproduce, publish, license or sublicense, modify, rewrite, create derivative works from, transfer, unlessConnect Earth has granted You a respective license.  Regardless of any existing authorisation or license granted by Connect Earth with respect to any product available via the Platform, You will not have the right to disassemble, decompile, rearrange, copy, reverse engineer or translate any element or content available through the Platform or the Services into any language or computer language, as well as retransmit in any form or by any means (electronic, mechanical, photo re-production, recordation or otherwise), resell, redistribute or profit from the use of any such product, its part, modification or derivative.  

Notification of Infringement.

If You come across any data, work or product that has been unlawfully copied, published or otherwise used in a way that constitutes a trademark or copyright infringement, or if You are aware of someone infringing on your or other third-party rights, You should notifyConnect Earth immediately using our contact information below, so we can take an appropriate action. If You are the owner of content that is being improperly utilised on our Platform without Your permission, please let us know using thecontact detail below and we will remove such content immediately.

Indemnity.  

 You hereby indemnify and undertake to hold Connect Earth and its employees and officers harmless against any claims, proceedings, disputes, costs, demands, liabilities, damages, losses, costs and expenses, including, without limitation, reasonable legal fees, arising out of or in any connection related to (i) your access to or use of the Platform and/or the Services, (ii) your Data Submission and associated consents, permissions and authorisations, or (iii) your breach of any of these Terms. Limitation of

Liability.

Connect Earth takes every effort to independently verify and corroborate all data submitted by the users or collected elsewhere, however we are not able to guarantee accuracy, completeness, or relevancy of any such data available on the Platform and/or through the Services. Accordingly, Connect Earth is not in the position and, thus, will not provide representation, guarantee or warranty of any kind, whether express or implied, by operation of law or statute, with respect to any element of thePlatform and/or the Services.   To the extent possible under applicable law, Connect Earth disclaims all implied conditions and warranties of satisfactory quality, fitness for a particular purpose, merchantability, suitability, accuracy, completeness, or safety of use of the Platform and/or the Services and their compliance with laws, regulations, market or industry standards.   To the extent allowed by the applicable law and with the exception of statutory liability associated with death or personal injury and/or fraudulent misrepresentation or actions, Connect Earth will not be held liable for any damages or losses associated or arising out of the use of the Platform and/or the Services, including, loss of profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill, any loss or corruption of any data, database or software as well as any special, indirect or consequential losses or damages, reputational damages or other negative effects of any sort or lack of positive outcome.

Governing Law and DisputeResolution.

‍These Terms and the use of the Platform and the Services are governed by and construed according to the Laws of England and Wales. The courts of England and Wales will have non-exclusive jurisdiction over any claims or disputes arising out of or associated with the use of thePlatform and Services or due to violation of these Terms. Before commencing litigation, You agree to engage in good faith negotiations with Connect Earth to settle a dispute and if resolved You agree to be bound by the condition of the settlement and not to initiate or to proceed with litigation.  

Miscellaneous Provisions.Assignment.

By accepting these Terms, You agree that Connect Earth may assign, transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions. You may not, without our prior written consent, assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these Terms.  

Severability.

If any provision of these Terms is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in full effect.  

Entire agreement.

With the exceptions expressly outlined above, these Terms shall constitute an entire agreement between You and Connect Earth in relation to your use of our Platform and theServices, which supersedes all previous agreements between You and ConnectEarth with respect to the subject-matter of these Terms.

Right of Third Parties.

The Contracts Act1999 shall not apply to these Terms and no third party will have any right to enforce or rely on any provision of these terms and conditions, except where it is expressly stated otherwise.  

Remaining in Effect.

These Terms will be remaining in full effect until occurrence of one of the following events: 1) theseTerms have been replaced with new terms and conditions, published by ConnectEarth and accepted by You; or 2) whichever occurs later: the 6-year anniversary of Your last access to the Platform and the Services OR expiry of the statutory limitation period/statute of limitations with respect to a potential claim, complaint or dispute brought or initiated by You, us or any third party in connection with the Platform, the Services or these Terms or our other relevant policies.
